Southern Hens Privacy Policy and Terms of Use
Access to Southern Hen’s Internet Sites (the “Sites”), is given to users (“User” or “you”) subject to the Privacy Policy and Terms of Use stated herein (“Agreement”). The Sites include Southern Hens’ website(s), online communities, related links and downloads. This Agreement describes how we collect and use information provided to us in connection with your use of the Sites. By accessing, using, downloading, submitting content or browsing on or from the Sites, you agree to be bound by this Agreement. Southern Hens reserves the right to amend or modify this Agreement and any modifications to same will be effective from the date of posting of such amendments or modifications on the Sites. By continuing to use the Sites after any modification, you consent to such changes.
This Agreement does not apply to other web sites, third party application providers or to the Internet generally. Southern Hens may make content or services from other web sites available to you from links located on the Sites. Southern Hens is not responsible for the privacy, security, or content of such sites. Southern Hens also may use third parties to advertise on the Internet and web sites owned by parties that are unaffiliated with Southern Hens. You should review the privacy policy of each application provider you use and at any third party web site you visit to determine how that provider or site protects your privacy.
The Sites are intended for users who are eighteen (18) years of age and older. Southern Hens does not knowingly collect personal information from children under the thirteen (13) years of age. If Southern Hens learns that a child under thirteen (13) years of age has submitted personal information to Southern Hens, Southern Hens will delete such personal information as soon as possible. In the event you elect to submit content to the Sites, by submitting your name, user name, and/or email address, you warrant and represent that you are over thirteen (13) years of age.
You may elect to submit content, including but not limited to a job application (“content”) to the Sites. By voluntarily submitting content to the Sites, you acknowledge that such content may contain personal information, and warrant that the content is true and correct. Southern Hens will use the content to communicate with you, to manage Southern Hen’s recruiting and hiring processes, and for compliance with corporate governance and legal and regulatory requirements. If you are hired, the information may be used in connection with employment and corporate management. Southern Hens may share the content in the following circumstances: 1) internally and/or with service providers and other third parties as necessary in connection with recruiting, employment, corporate governance, acquisitions and legal or regulatory requirements (and who have agreed to use your content only as necessary to provide these Services to us); 2) if we are required to do so by law or legal authority (such as by a subpoena or other similar legal process) or 3) if we in good faith believe that it is necessary to do so in order to comply with legal process or law, government request, to protect and defend our rights or property, users or the public. Except as otherwise stated in this policy or as required for legal or regulatory purposes, Southern Hen treats your personal information as confidential and will not disclose it to third parties without your consent. Southern Hens maintains reasonable controls designed to protect the confidentiality and security of your personal information. Southern Hens will retain the information submitted by use as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
THE SITES ARE PROVIDED TO YOU “AS IS.” SOUTHERN HENS DISCLAIMS ANY AND ALL WARRANTIES RELATED TO THE SITES AND ANY MATERIAL OR CONTENT UPLOADED, DOWNLOADED OR OTHERWISE OBTAINED BY YOU, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. SOUTHERN HENS FURTHER DISCLAIMS ANY WARRANTIES CONCERNING WHETHER THE SITE OPERATES PROPERLY OR IN CONJUNCTION WITH YOUR DEVICE AND/OR ANY HARDWARE OR SOFTWARE, OR OTHER REQUIREMENTS YOU MAY HAVE. SOUTHERN HENS FURTHER DISCLAIMS ANY WARRANTY THAT THE SITES WILL OPERATE ERROR-FREE OR ON AN UNINTERRUPTED BASIS. SOME STATES DO NOT ALLOW THE ABOVE LIMITATIONS OF LIABILITY, SO THE ABOVE EXCLUSION MAY NOT APPLY. SOUTHERN HENS MAY ALSO HAVE OTHER LEGAL RIGHTS WHICH VARY FROM STATE TO STATE.
SOUTHERN HENS SHALL HAVE NO LIABILITY OR OBLIGATION IN EITHER CONTRACT OR TORT, FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND INCURRED BY YOU, SUCH AS, BUT NOT LIMITED TO, CLAIMS FOR DAMAGES FOR LOSS OF USE, LOSS OF ANTICIPATED PROFITS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ECONOMIC LOSSES OF ANY KIND, ARISING OUT OF THE USE OF THE SITES, CONTENT ON THE SITES OR ACCESSIBLE THROUGH THE SITES, THE ACTS OR OMISSIONS OF ANY THIRD PARTY, OR FOR ANY CONTENT PROVIDED BY ANY THIRD PARTY, IRRESPECTIVE OF WHETHER SOUTHERN HENS HAS BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER OR NOT CAUSED BY SOUTHERN HENS’S NEGLIGENCE, TO THE FULL EXTENT SAME MAY BE DISCLAIMED BY LAW. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION MAY NOT APPLY. SOUTHERN HENS MAY ALSO HAVE OTHER LEGAL RIGHTS WHICH VARY FROM STATE TO STATE.
You agree to indemnify, defend and hold harmless Southern Hens, its shareholders, and each of their employees, directors, officers, agents, business partners, subsidiaries, affiliates, contractors, and representatives from and against any and all third party claims, demands, liabilities, costs or expenses, including attorneys’ fees and costs, arising out of, or related to, any breach by you of any term of this Agreement or applicable law, or your use of Sites, including, but not limited to, due to any submission of content by you.
This Agreement and your use of the Sites shall be governed by and construed in accordance with the substantive laws of the State of Mississippi, without regard to the principles of conflicts of law thereof.
